5. GENERAL MEETINGS
The first Annual General Meeting of the Association shall be held not later than April each year. An annual general meeting of the Association shall be held once in each year thereafter at such a time and at such place as the committee shall determine. At least 14 days notice of the meeting shall be given in writing by the Secretary to each member. Notice will also be publicised in the local press and in local shops. At each annual general meeting the business shall include the consideration of the annual report on the work of the Association, the approval of the audited accounts, the election of office bearers and the election of other members to serve as may be deemed appropriate.
6. RULES OF PROCEDURE AT ALL MEETINGS & QUORUM:
The Quorum at a meeting of the Association shall be 4 members VOTING: Unless it is otherwise specified in the constitution, all questions arising at any meeting shall be decided by a two-thirds majority of the votes cast.
7: MINUTES:
The Association shall ensure that minutes are kept of all meetings. In each case the minutes shall contain a record of those attending the Chairperson and a record of all proceedings, resolutions and decisions.
8. FINANCE
All funds raised by or on behalf of the Association shall be applied to further the aims of the Association and for no other purpose: the preceding provision shall not, however prevent the payment in good faith of reasonable and proper remuneration to any employee of the Association and fees to professional and technical advisers or the repayment to members for reasonable out of pocket expenses. The Treasurer shall keep proper accounting records and shall prepare proper accounts annually and at such other intervals as the Association may direct. The accounts shall be independently examined at least once a year by an appointed person. A statement of the accounts for the last financial year shall thereafter be submitted y the Association to the Annual General Meeting. A bank account shall be opened on the name of the Association with such banks/building society as the members shall from time to time decide. The Association shall authorise in writing three members (one of whom shall be the treasurer) to sign cheques on behalf of the Association.
9. ALTERATION TO THE CONSTITUTION
21 days notice shall be given in writing before the meeting at which the alteration was proposed.
10. DISSOLUTION
If the Association by a simle majority at any time decides that on the grounds of expense or otherwise it is necessary to dissolve the Association, it shall call a special general meeting of the Association, of which not less than 21 days notice shall be given. If such a decision is confirmed by two-thirds majority of the votes cast in relation to the resolution at such a meeting, the Association shall transfer their assets to another charitable organisation having similar aims to that of the Association. This amended constitution was adopted as the Constitution of the H.E.A.R.D at a meeting in the Eshaness Community Centre on 2nd June 2005 and is certified as a true copy.
